Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Owniagoverning your access to and use of the Ownia platform and related services. Please read them carefully before using our services.
1. Definitions
As used in these Terms, the following terms have the meanings set out below:
- "Agreement" means these Terms together with any Order Form, subscription confirmation, or other document expressly incorporated herein.
- "Customer" or "you" means the natural person or legal entity that registers for or uses the Services.
- "Consumer" means a Customer who is a natural person acting outside the scope of any trade, business, craft, or profession.
- "Business Customer" means a Customer who is not a Consumer.
- "Guest" means a traveller or third party whose name and email address are managed through the platform at the Customer's direction.
- "Platform" means the web application and any associated mobile applications, APIs, and tools operated by Ownia.
- "Services" means the vacation-rental management software, direct-booking tools, and ancillary services provided by Ownia through the Platform.
- "Ownia", "we", "us", or "our" refers to the entity operating the Ownia Platform.
- "User Content" means any data, text, images, or other material that you upload to or create within the Platform.
2. Acceptance of Terms
By creating an account, clicking "I agree," or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Services.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts in your jurisdiction to use the Services.
If you are located in the European Union, you benefit from the mandatory consumer protection provisions of your country of residence to the extent they are more favourable than these Terms. Nothing in these Terms limits rights you cannot waive under applicable mandatory law.
4. Account Registration
4.1 Account Creation
You must provide accurate, current, and complete information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
4.2 Security
You must notify us immediately at hello@ownia.co upon becoming aware of any unauthorised use of your account or any other breach of security. Ownia will not be liable for any loss or damage arising from your failure to comply with this obligation.
4.3 One Account per Person
Each account is for a single user or entity. You may not share your account credentials with third parties.
5. Description of Services
Ownia provides a cloud-based vacation-rental management platform that enables property owners and managers to, among other things: list properties; receive direct bookings; manage guest communications; generate booking pages and links; and access AI-assisted tools for content and operational support.
The Services are provided on a subscription basis. Specific features available to you depend on the subscription plan you have selected. We reserve the right to modify, discontinue, or add features at any time, subject to the notice provisions in Section 18.
6. Subscription Plans and Payment
6.1 Fees
Subscription fees are set out on our pricing page. All prices are exclusive of applicable taxes (including VAT) unless stated otherwise. VAT or equivalent taxes applicable to your country will be added at checkout where required.
6.2 Billing
Subscriptions are billed in advance on a monthly or annual basis, as elected at signup. Payment is processed through our third-party payment processor, Stripe. By subscribing, you authorise Ownia to charge your payment method on a recurring basis until you cancel.
6.3 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to the Services until that date. Except as required by law or as stated in Section 7 (Free Trial) and Section 8 (Right of Withdrawal), fees already paid are non-refundable.
6.4 Price Changes
We may change subscription fees at any time. For existing subscribers, changes take effect at the start of the next billing period following at least 30 days' written notice. Continued use of the Services after a price change constitutes acceptance. If you do not accept the new price, you may cancel your subscription before the change takes effect.
6.5 Late Payment
If a payment is declined, we will notify you and may suspend your account after a 7-day grace period. Interest on overdue amounts may apply at the statutory rate under applicable law.
7. Free Trial
Where we offer a free trial, your trial will begin on the date you create your account and end on the date specified at signup. No payment is required during the trial. At the end of the trial, you must choose a paid plan to continue accessing the Services; if you do not, your account will be automatically downgraded or suspended.
Abuse of free trials (e.g., repeatedly creating new accounts to benefit from trial periods) is prohibited and may result in immediate termination.
8. Right of Withdrawal (EU/EEA Consumers)
If you are a Consumer located in the European Union or European Economic Area, you have the right to withdraw from this Agreement within 14 calendar days of the date of your initial subscription purchase, without giving any reason, pursuant to Directive 2011/83/EU on Consumer Rights as implemented in your member state.
To exercise this right, notify us unambiguously (e.g., by email to hello@ownia.co) before the 14-day period expires. We will reimburse all payments received from you without undue delay and no later than 14 days after we receive your withdrawal notice, using the same payment method you used for the original transaction.
Waiver of withdrawal right: By expressly requesting that we begin providing the Services before the 14-day period expires (which occurs when you access and use the platform immediately after purchase), you acknowledge that you will lose your right of withdrawal once the Services have been fully performed. If the Services have not been fully performed, you retain the right to withdraw but will be charged pro-rata for any service delivered up to the point of withdrawal.
9. Acceptable Use
9.1 Permitted Use
You may use the Services solely for lawful purposes and in accordance with these Terms.
9.2 Prohibited Conduct
You must not:
- Use the Services to engage in any unlawful activity, including fraud, money laundering, or harassment;
- Upload, transmit, or distribute malware, viruses, or other harmful code;
- Attempt to gain unauthorised access to the Platform, its servers, or any connected systems;
- Reverse-engineer, decompile, or disassemble any part of the Platform;
- Use automated tools to scrape, crawl, or extract data from the Platform without our prior written consent;
- Sublicense, resell, or transfer access to the Services to third parties without our written approval;
- Use the Platform in a manner that could damage, overburden, or impair its operation;
- Impersonate any person or misrepresent your affiliation with any entity;
- Collect or harvest personal data of other users without their consent;
- Violate any applicable local, national, or international law or regulation.
9.3 Consequences of Misuse
Violation of this section may result in immediate suspension or termination of your account without refund and, where applicable, referral to law enforcement.
10. Intellectual Property
10.1 Our IP
All intellectual property rights in the Platform and Services (including software, design, trademarks, and documentation) are owned by or licensed to Ownia. Nothing in these Terms transfers any such rights to you. You receive only a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for the duration of your subscription.
10.2 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant Ownia a perpetual, irrevocable, royalty-free, worldwide licence to use and incorporate such feedback without any obligation to you.
11. User Content
11.1 Ownership
You retain ownership of all User Content you submit to the Platform. By uploading User Content, you grant Ownia a limited, worldwide, non-exclusive licence to host, store, display, and process that content solely as necessary to provide and improve the Services.
11.2 Your Responsibilities
You are solely responsible for the accuracy, legality, and appropriateness of all User Content. You warrant that you have all necessary rights, licences, consents, and permissions to submit User Content and to grant us the licence above, and that doing so does not infringe any third-party rights.
11.3 Data Portability
You may export your User Content at any time through the account settings. Upon written request following account termination, we will provide a machine-readable export of your data within 30 days.
12. Third-Party Services
The Services integrate with third-party providers including Stripe (payment processing), Supabase (infrastructure), Resend (transactional email), Anthropic (AI features), and ScraperAPI (public data retrieval). Your use of such third-party services is subject to their respective terms and privacy policies. Ownia is not responsible for the acts or omissions of third-party providers, nor for any interruption, error, or failure attributable to them.
Links to third-party websites or services within the Platform are provided for convenience only.Ownia does not endorse and has no control over such third-party content.
13. Availability and Service Levels
Ownia will use commercially reasonable efforts to maintain the availability of the Platform. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency patches, or events outside our reasonable control (including force majeure events such as natural disasters, pandemics, acts of government, or failures of telecommunications infrastructure) may cause service interruptions.
We will endeavour to provide advance notice of planned maintenance where reasonably practicable.
14. Limitation of Liability
14.1 Exclusion of Indirect Losses
To the fullest extent permitted by applicable law, Ownia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or related to these Terms or your use of the Services, even if advised of the possibility of such damages.
14.2 Cap on Liability
Our total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to Ownia in the 12 months immediately preceding the event giving rise to the claim, or (b) €100 / $100.
14.3 Consumer Carve-Out
Nothing in this Section limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited or excluded under applicable mandatory consumer protection law (including EU Directive 2019/770 on digital content and services where applicable).
15. Indemnification
Business Customers agree to indemnify, defend, and hold harmless Ownia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your infringement of any third-party rights.
This indemnification clause does not apply to Consumers to the extent prohibited by mandatory applicable law.
16. Termination
16.1 Termination by You
You may terminate your account at any time by cancelling your subscription through account settings or by contacting us. Termination does not entitle you to a refund of prepaid fees except as required by law.
16.2 Termination by Us
We may suspend or terminate your access immediately if: (a) you materially breach these Terms and, if the breach is remediable, fail to remedy it within 14 days of written notice; (b) you become insolvent or subject to insolvency proceedings; (c) we are required to do so by law; or (d) continuation of the Services would expose Ownia to legal liability.
16.3 Effects of Termination
Upon termination, your licence to use the Services ceases immediately. We will retain your data for 30 days following termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy. Sections 10, 14, 15, 17, and 19 survive termination.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict-of-law provisions. EU Consumers additionally benefit from the mandatory consumer protection laws of their country of habitual residence.
17.2 Jurisdiction
Subject to Section 17.3, you agree that any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland. EU Consumers may also bring proceedings before the courts of their country of habitual residence.
17.3 Alternative Dispute Resolution
EU Consumers have the right to use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. Our contact email for ODR purposes is hello@ownia.co. We are not obligated to participate in ADR proceedings but will consider each request in good faith.
17.4 Informal Resolution
Before initiating formal proceedings, we encourage you to contact us at hello@ownia.co so that we can attempt to resolve the matter informally within 30 days.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by displaying a prominent notice within the Platform at least 30 days before the changes take effect (or at least 15 days for Business Customers). Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
EU Consumers who do not accept a material change may terminate the Agreement without penalty before the change takes effect and will be entitled to a pro-rata refund of any prepaid fees.
19. Miscellaneous
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Ownia with respect to the Services and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
19.3 Waiver
No failure or delay by Ownia in exercising any right under these Terms constitutes a waiver of that right.
19.4 Assignment
Ownia may assign or transfer its rights and obligations under these Terms (e.g., in connection with a merger or acquisition) upon 30 days' notice to you. You may not assign or transfer your rights without our prior written consent.
19.5 Force Majeure
Ownia shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including acts of God, government actions, pandemics, infrastructure failures, or cyber-attacks, provided we take reasonable steps to mitigate the impact and resume performance as soon as practicable.
19.6 Language
These Terms are drafted in English. Where a translation is provided for convenience, the English version prevails in the event of any inconsistency.
